1. On September 11, POLOFF conducted a site visit at IRT
Consult. The company was formed in 2007 as an operating unit
of CTS Health & Safety Ltd., which was founded in 2004. At
present, the only employees are Darren Whyte and his spouse.
The company operates from a new facility that is secured with
an alarm system, CCTV, and equipment safes.
2. The proposed purchase will enable a move into a
complementary line of business. Today, the company provides
thermal imaging services to companies in Ireland and the UK.
The work is typically done in conjunction with new or renewed
insurance policies. Recently, this type of camera has
declined dramatically in price and companies are more
frequently opting to do the imaging in house.
3. Whyte does not have an extensive customer list for the
new offering, but indicates that the FLIR system will likely
be used exclusively on Irish customers in the pharmaceutical,
oil and gas, and manufacturing industries. The system
provides a safer and faster means for surveying distribution
networks and has the ability to check 2,000-3,000 connections
per hour.
4. Whyte understands the restrictions on United States
Munitions List (USML) items, especially the prohibition
against unauthorized re-transfers and re-exports.
5. Post believes that the operation is legitimate and that
all documentation in order.
